Terms and Conditions

1. Agreement

These Terms and Conditions ("Terms") govern your use of RegNexus Books ("the Service"), a cloud accounting platform operated by FYM Compliance Limited ("we", "us", "our"), a company registered in England and Wales.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. The Service

RegNexus Books provides cloud-based accounting software including double-entry bookkeeping, invoicing, bank reconciliation, VAT returns, payroll, and tax filing for UK businesses. The Service integrates with HMRC Making Tax Digital, Open Banking (via TrueLayer), Companies House, Stripe, and GoCardless.

3. Account Responsibilities

  • You must provide accurate and complete information when registering
  • You are responsible for maintaining the confidentiality of your login credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately of any unauthorised access
  • You must be at least 18 years old to use the Service

4. HMRC Integration

When you connect your HMRC account via Making Tax Digital, you authorise us to submit VAT returns, Income Tax Self Assessment quarterly updates, and other tax filings on your behalf. You remain solely responsible for the accuracy and completeness of the financial data that forms the basis of these submissions.

We act as a software intermediary only. We do not provide tax advice. You should consult a qualified accountant or tax adviser for guidance on your tax obligations.

5. Open Banking

Bank account connections via TrueLayer are subject to your explicit consent. You can revoke access at any time. Imported transaction data is used solely for reconciliation within your accounting ledger. We do not initiate payments from your bank account without your express authorisation.

6. Companies House

When filing annual accounts or confirmation statements via the Service, you confirm that the information submitted is accurate and authorised. Filing with Companies House is a legal obligation and submitting false information is a criminal offence.

7. Subscriptions & Billing

The Service operates on a subscription basis. Subscription plans and pricing are displayed on the billing page. Payments are processed via Stripe. All prices are in GBP and inclusive of VAT where applicable.

  • Free trials are available for new accounts (30 days, no card required)
  • Subscriptions renew automatically unless cancelled
  • You may cancel at any time via Settings > Billing
  • Refunds are handled on a case-by-case basis

8. Data Ownership

You retain full ownership of all financial data you enter into the Service. We do not claim any intellectual property rights over your data. You may export your data at any time.

9. Service Availability

We aim to provide 99.9% uptime but do not guarantee uninterrupted access. We are not liable for losses caused by downtime, including missed HMRC deadlines, provided we have taken reasonable steps to maintain availability.

10. Limitation of Liability

The Service is provided "as is". To the maximum extent permitted by law, we exclude all warranties, conditions, and representations. We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to penalties from HMRC, Companies House, or any other regulatory body.

Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Acceptable Use

You must not:

  • Use the Service for any unlawful purpose, including tax evasion or fraud
  • Attempt to gain unauthorised access to other accounts or our systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to process data for which you do not have lawful authority

12. Termination

We may suspend or terminate your account if you breach these Terms. Upon termination, we will retain your data for the period required by law and then securely delete it.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
